video converting and watermarking script

i am searching for a coder/ script
i need to convert original video into 3gp good quality, mp4 normal quality and mp4 hiqh quqality..
and also auto water marking...
Video clarity should not be loss...

i would recommend to do it on your local computer, and then upload it to your host, the other way is to install ffmpeg on your server, but the on the fly video conversion will kill your server.

Ya. but i need to give my visitors in severel formats. like 3gp high low, mp4 high low...... i can't do this manually in my pc and uploading...etc
